ProsDirect Terms of Service

Welcome to ProsDirect. These Terms of Service ("Terms") govern your access to and use of the ProsDirect platform, website, and services (collectively, the "Platform"). By accessing or using ProsDirect, you agree to be bound by these Terms.

ProsDirect is operated by ProsDirect ("ProsDirect," "we," "us," or "our").

1. Overview of the Platform

ProsDirect is a marketplace that connects independent filmmakers ("Filmmakers") with verified film industry professionals ("Professionals" or "Pros") for candid feedback sessions on creative work. The Platform facilitates bookings, payments, and communication between Filmmakers and Professionals.

ProsDirect is not a party to the feedback sessions. We provide the technology and platform to connect users, but the feedback services are provided directly by Professionals to Filmmakers.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old to use ProsDirect. By using the Platform, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your password and account
Promptly update your information if it changes
Accept responsibility for all activity under your account

2.3 Account Types

Filmmaker Accounts: For individuals seeking feedback on their creative work
Professional Accounts: For verified film industry professionals offering feedback services (subject to approval)

3. Filmmaker Terms

3.1 Content Uploads

When you upload content (videos, scripts, treatments, or other materials) to ProsDirect, you represent and warrant that:

You own the content or have all necessary rights and permissions to share it
The content does not infringe any third party's intellectual property, privacy, or other rights
The content complies with all applicable laws and these Terms

3.2 License Grant

By uploading content, you grant ProsDirect a limited, non-exclusive license to:

Store and transmit the content to facilitate feedback sessions
Display thumbnails or previews as necessary for the Platform's operation

You retain all ownership rights to your content. This license is solely to enable the Platform's functionality and terminates when you delete your content or account.

3.3 Content Sharing with Professionals

When you book a session, your submitted content will be shared with the Professional you selected. You acknowledge that:

The Professional will view your content to provide feedback
You are responsible for ensuring you have rights to share the content
Professionals are bound by confidentiality obligations (see Section 4.3)

3.4 Feedback Expectations

Feedback provided by Professionals represents their professional opinion and creative perspective. You acknowledge that:

Feedback is subjective and may differ between Professionals
Feedback is for informational and educational purposes only
ProsDirect does not guarantee any particular outcome from feedback received

4. Professional Terms

4.1 Application and Approval

To become a Professional on ProsDirect, you must:

Submit an application with accurate credentials and work history
Be approved by ProsDirect at our sole discretion
Maintain accurate and up-to-date profile information

ProsDirect reserves the right to reject applications or revoke Professional status at any time.

4.2 Service Delivery

As a Professional, you agree to:

Provide feedback services as described in your offerings
Deliver feedback within the timeframes specified
Maintain professional and respectful communication
Provide honest, constructive feedback to the best of your ability

4.3 Confidentiality

You agree to keep all Filmmaker content confidential. Specifically, you shall not:

Share, distribute, or disclose Filmmaker content to any third party
Use Filmmaker content for any purpose other than providing feedback
Retain copies of Filmmaker content after the session is complete

Violation of confidentiality obligations may result in immediate removal from the Platform and potential legal action.

4.4 Independent Contractor Status

Professionals are independent contractors, not employees of ProsDirect. You are responsible for your own taxes, insurance, and compliance with applicable laws.

4.5 Professional Conduct

You agree to conduct yourself professionally and not to:

Provide feedback that is discriminatory, harassing, or abusive
Make promises or guarantees about career outcomes
Solicit Filmmakers for services outside the Platform (see Section 7)
Misrepresent your credentials or experience

5. Payments

5.1 Pricing

Professionals set their own prices for feedback sessions. ProsDirect displays these prices and facilitates payment processing.

5.2 Platform Fee

ProsDirect charges a platform fee on each transaction. The current fee structure is displayed during the booking process. We reserve the right to modify fees with reasonable notice.

5.3 Payment Processing

Payments are processed through Stripe. By using ProsDirect, you agree to Stripe's terms of service. Filmmakers are charged when booking a session. Funds are held until the session is completed.

5.4 Professional Payouts

Professionals receive payouts through Stripe Connect. You are responsible for:

Setting up and maintaining your Stripe Connect account
Providing accurate tax and banking information
Any fees charged by Stripe for payouts

5.5 Refunds

Before feedback delivery: Filmmakers may request a full refund if the Professional has not yet begun work
After feedback delivery: Refunds are at ProsDirect's discretion and evaluated case-by-case
Non-delivery: If a Professional fails to deliver feedback within the specified timeframe, Filmmakers are entitled to a full refund

5.6 Disputes

Payment disputes should be reported to support@theprosdirect.com within 14 days of the transaction. ProsDirect will review disputes and make a determination at our reasonable discretion.

6. Prohibited Conduct

You agree not to:

Violate any applicable law or regulation
Infringe any intellectual property or other rights of any party
Upload content that is illegal, defamatory, obscene, or harmful
Harass, abuse, or threaten other users
Impersonate any person or entity
Use the Platform for any fraudulent purpose
Attempt to circumvent any security features
Scrape, crawl, or use automated means to access the Platform
Interfere with the proper operation of the Platform
Upload malware, viruses, or other harmful code

7. Circumvention Policy

To maintain a fair marketplace and protect all users:

Filmmakers agree not to solicit Professionals for services outside ProsDirect to avoid platform fees
Professionals agree not to solicit Filmmakers for direct payment or outside services

Transactions initiated through ProsDirect must be completed through ProsDirect. Violation of this policy may result in account suspension or termination.

8. Intellectual Property

8.1 Platform Content

ProsDirect and its licensors own all rights to the Platform, including design, text, graphics, logos, and software. You may not copy, modify, or distribute Platform content without permission.

8.2 User Content

Users retain ownership of their respective content (Filmmaker submissions and Professional feedback). By using the Platform, you grant ProsDirect only the limited licenses necessary to operate the service as described in these Terms.

8.3 Feedback Ownership

Feedback provided by Professionals is owned by the Professional but licensed to the Filmmaker for their personal use in improving their creative work. Filmmakers may not publicly attribute feedback to Professionals without consent.

9. Disclaimers

9.1 No Professional Advice

Feedback provided through ProsDirect represents the opinions of individual Professionals. It is not professional, legal, financial, or career advice. You should not rely solely on feedback received through the Platform for important decisions.

9.2 No Guarantees

ProsDirect does not guarantee:

The quality, accuracy, or usefulness of feedback
Career outcomes, festival selections, or distribution deals
The qualifications or reliability of any Professional
That the Platform will be error-free or uninterrupted

9.3 As-Is Basis

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ProsDirect shall not be liable for any indirect, incidental, special, consequential, or punitive damages
ProsDirect's total liability shall not exceed the greater of (a) the amounts paid by you to ProsDirect in the 12 months preceding the claim, or (b) $100

These limitations apply regardless of the theory of liability and even if ProsDirect has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless ProsDirect, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any rights of another party
Content you upload to the Platform

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@theprosdirect.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in California, and the arbitrator's decision shall be final.

12.3 Class Action Waiver

You agree to resolve disputes with ProsDirect on an individual basis and waive any right to participate in class actions.

12.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or other urgent matters.

13. Termination

13.1 By You

You may terminate your account at any time by contacting support@theprosdirect.com or using account settings. Termination does not affect any obligations or liabilities incurred before termination.

13.2 By ProsDirect

We may suspend or terminate your account at any time for:

Violation of these Terms
Conduct that harms other users or the Platform
Extended inactivity
Any other reason at our reasonable discretion

We will attempt to provide notice when feasible, but immediate termination may occur for serious violations.

13.3 Effect of Termination

Upon termination:

Your right to use the Platform ceases immediately
We may delete your account data after a reasonable retention period
Provisions that by their nature should survive (e.g., indemnification, limitation of liability) will survive

14. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Your continued use after changes become effective constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProsDirect regarding the Platform.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

15.4 Assignment

You may not assign your rights under these Terms. ProsDirect may assign its rights to any successor or affiliate.

15.5 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
